Wallets Addendum

This Wallets Addendum (this "Addendum") sets out the additional terms that govern each Wallet Owner's access to and use of the Wallet Feature (defined below) made available by M-Cubed. This Addendum supplements, and is incorporated into, the Terms of Use between the Wallet Owner and M-Cubed (the "TOU"). It applies to each Customer and each User that owns a Wallet (each, a "Wallet Owner"), and states the terms that apply to, and as between, M-Cubed and each Wallet Owner. Capitalized terms used but not defined in this Addendum have the meanings given to them in the TOU.

  1. WALLETS
    1. Description. The wallet feature (the "Wallet Feature") is a feature of the Services that enables a Wallet Owner to provision and operate one or more on-chain, non-custodial wallets (each, a "Wallet") for the Wallet Owner's digital asset use cases, and to initiate, sign, and broadcast on-chain Transactions from those Wallets in accordance with the TOU, this Addendum, and the applicable Documentation.
    2. Wallet Ownership and Control. Each Wallet is created for, and owned by, the Wallet Owner. As between the Wallet Owner and M-Cubed, the Wallet Owner at all times owns and controls the Wallet and the digital assets associated with it, retains title to those digital assets, and bears all risk of loss with respect to those digital assets. M-Cubed does not own, hold, or take title to the Wallet Owner's digital assets and does not hold the root cryptographic key to any Wallet.
    3. M-Cubed as Technical Operator. M-Cubed operates each Wallet solely as a technical operator, acting under the Delegated Signing Authority (defined below) granted by the Wallet Owner under Section 2 and within the scope of that authority. M-Cubed's role is limited to initiating and relaying Transaction requests and orchestrating Conversions, in each case on behalf of and as instructed or authorized by the Wallet Owner and subject to the Wallet Owner's configured controls. M-Cubed does not act as a custodian, trustee, fiduciary, broker, or agent for investment purposes with respect to any Wallet or digital asset.
    4. Wallet Infrastructure Providers; Bridging Providers; Onchain Liquidity Orchestration Methods . The Wallet Feature is powered by one or more third-party providers of non-custodial key-management and embedded wallet infrastructure (each, a "Wallet Infrastructure Provider"); one or more third-party bridges or cross-chain messaging protocols (each, a "Bridging Provider") for Transaction orchestration on networks not supported by M-Cubed's regulated Payments Partners; and one or more onchain liquidity orchestration methods (each, an "Onchain Liquidity Orchestration Method") to execute swaps of digital assets (each, a "Conversion") not supported by M-Cubed’s regulated Payments Partners. M-Cubed may add, remove, or change any Wallet Infrastructure Provider, Bridging Providers or Onchain Liquidity Orchestration Method at any time. The Wallet Owner acknowledges that the availability, functionality, and performance of the Wallet Feature depend on these third parties and on public blockchain networks and protocols that M-Cubed does not control.
    5. Regulated Rails; Scope Unchanged. Fiat custody, and digital asset issuance, conversion (each, a "Conversion"), and custodial on-chain activity, continue to be performed by M-Cubed's regulated Payments Partners within their respective regulatory perimeters, as described in the TOU and the applicable Payments Partner Terms. The Wallet Feature does not change the roles of the Payments Partners or expand M-Cubed's regulated activity. The Wallet Owner is responsible for determining the regulatory treatment of the Wallet Owner's own products, services, and use of the Wallet Feature under Applicable Laws.
  2. DELEGATED SIGNING AUTHORITY
    1. Grant. The Wallet Owner grants M-Cubed a limited, revocable authorization to act as a scoped, delegated signer on each of the Wallet Owner's Wallets (the "Delegated Signing Authority"), solely to initiate, sign, relay, and broadcast Transactions and to orchestrate Conversions that are consistent with the Wallet Owner's instructions, the scoped policy configured for the Wallet, and the TOU (including the Documentation and this Addendum). The Delegated Signing Authority does not transfer ownership of, or title to, any Wallet or digital asset to M-Cubed.
    2. Scope and Limits. The Delegated Signing Authority is limited to the scope defined by the applicable Wallet policy and the Documentation. The Wallet Owner is responsible for the configuration and use of the Wallet Feature to the extent configured by or on behalf of the Wallet Owner, including the selection, scope, and maintenance of Wallet policies, spend and approval controls, permitted networks and counterparties, and whether Key Export is enabled. M-Cubed is not responsible for validating the substance, accuracy, purpose, destination, or lawfulness of any Transaction or Conversion that conforms to the Wallet Owner's instructions and configured controls.
    3. Revocation. The Delegated Signing Authority terminates automatically with respect to a Wallet upon Key Export of that Wallet's Private Key, closure of the associated Account, suspension or termination of the Wallet Feature, or termination of the TOU, in each case as further described in Section 6.
  3. COMPLIANCE AND SCREENING
    1. Compliance with Law. The Wallet Owner will use the Wallet Feature in compliance with all Applicable Laws, Network Rules, and Payments Partner Terms, and has obtained and will maintain all permits, licenses, registrations, and approvals required for the Wallet Owner's own products, services, and use of the Wallet Feature.
    2. Sanctions and Prohibited Activity. The Wallet Owner will not use the Wallet Feature to transact with any sanctioned person, wallet address, or jurisdiction, or in any manner that would cause the Wallet Owner, M-Cubed, a Payments Partner, or a Wallet Infrastructure Provider to violate Applicable Laws, including U.S. economic sanctions administered by OFAC. Where the Wallet Owner initiates or orchestrates Transactions or Conversions, the Wallet Owner will maintain screening controls designed to prevent such activity and will screen Wallet addresses and counterparties.
    3. Higher-Risk Corridors. The Wallet Owner acknowledges that certain networks, assets, bridges onchain liquidity orchestration methods (including USDT on the Tron network) present elevated illicit-finance and compliance risk. The Wallet Owner assumes full responsibility for screening, monitoring, and compliance with respect to any such corridor it uses, and for determining whether its use of any such corridor is permitted under Applicable Laws.
    4. M-Cubed and Payments Partner Authority. The Wallet Owner directs M-Cubed and its Payments Partners and Wallet Infrastructure Providers to take any and all actions to assist the Wallet Owner in complying with Applicable Laws, Network Rules, and Payment Partner Terms. As part of this, the Wallet Owner directs and authorizes M-Cubed and its Payments Partners and Wallet Infrastructure Providers to retain the right to screen, refuse, block, delay, hold, reverse, suspend, or terminate any Transaction, Conversion, Conversion, Wallet, Account, or access to the Wallet Feature at any time as they determine necessary for compliance, risk, legal, or safety-and-soundness reasons. Any reliance by M-Cubed on the Wallet Owner's own compliance activities or directives and authorizations under this Section do not limit the Wallet Owner's responsibility for those activities and creates no obligation for M-Cubed to verify the Wallet Owner's determinations. M-Cubed has no liability for any action taken, or not taken, under this Section 3(d).
  4. WALLET OWNER REPRESENTATIONS, WARRANTIES, AND COVENANTS
    1. The Wallet Owner represents, warrants, and covenants, on a continuing basis, that:
      1. the Wallet Owner's use of the Wallet Feature, and the Wallet Owner's products and services that incorporate it, comply and will comply with all Applicable Laws, Network Rules, and Payments Partner Terms, and the Wallet Owner has obtained and will maintain all permits, licenses, registrations, and approvals required for its own products and services;
      2. the Wallet Owner is not, and will not become, located in, organized in, resident in, or dealing with any person or jurisdiction that is the subject of applicable sanctions, and the Wallet Owner maintains controls designed to ensure this remains the case;
      3. the Wallet Owner will use the Wallet Feature strictly in accordance with the TOU, including the Documentation, and is solely responsible for its implementation decisions to the extent within its control, including who controls Private Keys, whether Key Export is enabled, Wallet policy configuration, and account and permission structuring;
      4. the Wallet Owner will not knowingly instruct or cause M-Cubed, a Payments Partner, or a Wallet Infrastructure Provider to engage in any Transaction, Conversion, or Conversion that would cause any of them to violate Applicable Laws;
      5. all data and instructions the Wallet Owner submits in connection with the Wallet Feature are accurate and complete and are collected, used, and disclosed in compliance with Applicable Laws; and
      6. the Wallet Owner is solely responsible for all activity attributable to its Wallets and Accounts in connection with the Wallet Feature, whether or not authorized by the Wallet Owner.
  5. ACKNOWLEDGMENT AND ASSUMPTION OF RISK
    1. The Wallet Owner acknowledges, accepts, and assumes the following risks of the Wallet Feature:
      1. Digital Assets and Risk of Loss. The Wallet Owner owns and controls the digital assets in each Wallet and bears all risk of loss, including loss arising from market volatility, user error, incorrect or malicious instructions, compromised credentials, unauthorized access, third-party attacks, and blockchain bugs, failures, or forks. M-Cubed has no liability for digital asset price fluctuations.
      2. Private Keys and Credentials. Access to a Wallet and its digital assets depends on Private Keys and Authentication Credentials that neither M-Cubed nor the Wallet Infrastructure Provider can recover in raw form. Loss, theft, or compromise of a Private Key or Authentication Credential may result in permanent and irreversible loss of access to the associated Wallet and digital assets. The Wallet Owner is solely responsible for the security of its Authentication Credentials.
      3. Irreversibility; No Guarantee of Confirmation. On-chain Transactions and Conversions cannot be reversed once broadcast. Neither M-Cubed nor any Wallet Infrastructure Provider guarantees that any Transaction or Conversion will be included, confirmed, or confirmed within any particular time, and neither controls which validator, miner, sequencer, or other network participant processes a Transaction.
      4. Conversions via Onchain Liquidity Orchestration Method. Conversions executed through a Onchain Liquidity Orchestration Method occur on third-party, decentralized liquidity venues that M-Cubed does not operate or control. The Wallet Owner assumes all risk arising from such Conversions, including price slippage, failed or partial execution, smart-contract exploits, illiquidity, and the acts or omissions of any Onchain Liquidity Orchestration Method or liquidity source. When a Conversion is executed, the Wallet Owner is not transacting with M-Cubed, and no digital assets are transferred to M-Cubed.
      5. Unsupported Networks and Formats. The Wallet Owner must not attempt to use the Wallet Feature with blockchain networks or encryption formats that are not supported as identified in the Documentation. M-Cubed has no responsibility or liability for any digital asset sent to or transacted on an unsupported network or format.
      6. No Insurance; Not a Bank Account; Not Legal Tender. Digital assets and stablecoin balances associated with a Wallet are not deposits, are not a bank account, and are not insured or guaranteed by the Federal Deposit Insurance Corporation, the Securities Investor Protection Corporation, or any other government agency or insurance scheme. Nothing in the Wallet Feature is, or should be represented as, legal tender, issued or guaranteed by the United States, or backed by the full faith and credit of the United States.
      7. Protocol and Availability Risk. Public blockchain networks and the underlying software are outside M-Cubed's control, may change (including through forks) without notice, and may experience congestion, outages, or failures that affect the Wallet Feature. Except for M-Cubed's express obligations under the TOU, the Wallet Feature is provided on an "as is" and "as available" basis.
  6. KEY EXPORT; CLOSURE; RESIDUAL OBLIGATIONS
    1. Key Export. Where enabled and made available to the Wallet Owner, the Wallet Feature may allow the Wallet Owner to export a copy of a Wallet's Private Key for use outside the Services ("Key Export"). To the extent Key Export is within the Wallet Owner's control, the Wallet Owner is responsible for deciding whether to use Key Export and for doing so in accordance with the Documentation.
    2. Effect of Export. Upon Key Export of a Wallet's Private Key, (a) M-Cubed's Delegated Signing Authority over that Wallet is revoked and terminates, and (b) the associated Account is closed on the M-Cubed platform. Following closure, M-Cubed has no obligation to initiate, sign, relay, or broadcast any further Transaction or Conversion from that Wallet.
    3. Wallet Owner Has Sole Responsibility Post-Export. From and after Key Export, the Wallet Owner is solely responsible for the safekeeping, security, and use of the exported Private Key, the associated wallet, and all digital assets contained in it. Notwithstanding anything to the contrary, M-Cubed has no responsibility or liability of any kind for an exported Private Key or any wallet, digital asset, transaction, loss, theft, compromise, or use associated with it, including any use, signing, or transfer occurring outside the Services.
    4. Wind-Down. Any wind-down of the Services on expiration or termination of the TOU, including the return or transition of Wallet access, will be handled in accordance with the wind-down provisions of the TOU and is subject to the availability and timelines of the applicable Payments Partners, Wallet Infrastructure Providers, and Applicable Laws. The Wallet Owner is responsible for effecting Key Export or otherwise transitioning its Wallets during any available wind-down period.
  7. GENERAL
    1. Survival. The following survive expiration or termination of the TOU or the Wallet Owner's use of the Wallet Feature: Section 4 (Wallet Owner Representations, Warranties, and Covenants), Section 5 (Acknowledgment and Assumption of Risk), Section 6 (Key Export; Closure; Residual Obligations), and this Section 7 (General), together with any accrued payment obligations and any other provision that by its nature is intended to survive.
    2. No Delegation of M-Cubed Rights. This Addendum does not authorize the Wallet Owner to bind M-Cubed, to make compliance, sanctions, or risk determinations on M-Cubed's behalf, or to interpret Payments Partner or Wallet Infrastructure Provider requirements on M-Cubed's behalf. M-Cubed retains all rights under the TOU, the Policies, and Applicable Laws.
    3. Relationship to the TOU. Except as expressly modified by this Addendum with respect to the Wallet Feature, all terms of the TOU remain unchanged and in full force and effect.
